By accessing the Site or engaging our services, you agree to be bound by these Terms. If you do not agree, please do not use the Site.
You may use the Site only for lawful purposes and in accordance with these Terms. You agree not to use the Site in any way that could damage, disable, overburden, or impair it, or interfere with any other party's use of the Site.
Catalyst provides e-commerce strategy, storefront engineering, performance marketing, marketplace management, fulfillment operations, lifecycle marketing, and analytics services. The specific scope, deliverables, fees, and timelines for any engagement are governed by a separate written agreement or statement of work executed between you and Catalyst. In the event of a conflict, that agreement controls over these Terms with respect to the engagement.
Any pricing, forecasts, projected results, or performance figures presented on the Site or in proposals are illustrative estimates based on prior experience. They are not guarantees of future results. Actual outcomes depend on many factors outside our control, including market conditions, product, and client cooperation.
Where we deliver services, you agree to provide timely access, accurate information, and necessary approvals. You represent that you own or have the right to use any content, trademarks, and accounts you provide to us, and that our authorized use of them will not infringe the rights of any third party.
The Site, including its design, text, graphics, logos, and underlying code, is owned by Catalyst or its licensors and is protected by intellectual property laws. Except as expressly permitted, you may not copy, reproduce, distribute, or create derivative works from the Site without our prior written consent. Deliverables created specifically for a client under an executed agreement are governed by the ownership terms of that agreement.
Our services may involve third-party platforms (such as Shopify, Amazon, Walmart, Meta, Google, Klaviyo, and Stripe). Your use of those platforms is subject to their own terms and policies. We are not responsible for the availability, changes, or actions of third-party platforms.
Each party agrees to protect the other's confidential information and to use it only for the purposes of the engagement. This obligation survives the termination of any engagement.
The Site is provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site will be uninterrupted, error-free, or secure.
To the maximum extent permitted by law, Catalyst will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, arising from your use of the Site. Our total liability for any claim relating to the Site shall not exceed one hundred U.S. dollars ($100). Liability arising from a paid engagement is governed by the applicable written agreement.
You agree to indemnify and hold harmless Catalyst and its officers, members, and employees from any claims, damages, or expenses arising out of your violation of these Terms or your misuse of the Site.
These Terms are governed by the laws of the State of Michigan, without regard to its conflict-of-laws principles. Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Michigan.
We may revise these Terms at any time by posting an updated version on this page. Your continued use of the Site after changes are posted constitutes acceptance of the revised Terms.
